| BAKER & BAKER INVESTIGATIONS PRIVATE INVESTIGATION CONTRACT 2009

| This Private Investigation Contract is made and effective this day of:* |

| Between Baker & Baker Investigations and (your full name):* |
|
| The
Agency is licensed by the State of Delaware to engage in the business
of providing private investigation services for a fee.
|
| The
Client desires to engage the Agency to render, and the Agency desires
to render to the Client, certain private investigation services, as set
forth.
|
| NOW, THEREFORE, in consideration of the mutual agreements and covenants herein contained the parties hereto agree as follows:
|
| 1. ENGAGEMENT
|
| Client
engages Agency to render, and Agency agrees to render to Client,
certain services in connection with Client's investigation problems as
follows:
|
| A. Analyze Client's investigation needs.
|
| B. Create, prepare, and submit a private investigation plan to Client, for Client's prior approval.
|
| C.Prepare
and submit to Client for Client's prior approval estimates of costs and
expenses associated with the proposed investigation plan.
|
| D. Design and prepare, or arrange for the design and preparation of, investigation strategies.
|
| E.Perform
such other services as Client may request from time to time such as,
but not limited to, asset investigations, back ground checks, skip
tracing, and surveillance.
|
| F.Install
surveillance devices and other equipment necessary to the
investigations upon court orders allowing Agency to install such
surveillance devices.
|
| G. Proof of accuracy and completeness of investigations.
|
| 2. Services
|
| We
are NOT attorneys. The Agency's services are limited to private
investigations as defined and set forth by the laws of the State of
Delaware.
|
| 3. Compensation.
|
| A. Agency shall receive a retainer of $:* |

| in advance. The Agency's fee $100.00 per man hour.
|
| B.
Client shall be responsible for reasonable expenses incurred by the
Agency in addition to the Agency's hourly fee. Such expenses include,
but are not limited to, gasoline, telephone expenses, fax expenses,
travel expenses, and other out of pocket expenses. The Client shall pay
airplane and hotel expenses in advance.

| 4. Billing
|
| A. Agency will invoice the Client on a monthly basis.
|
| B.
Invoices shall be itemized and shall be paid by the Client within ten
(10) days of the invoice date. If the Agency's fees are not paid within
ten (10) day of the invoice date the Agency reserves the right to
terminate this contract, and withhold any information from its
investigations on the un-paid balance of the invoice until the invoice
is paid in full.

| 5. Indemnification.
|
| A.
The Client shall indemnify and hold the Agency harmless with respect to
any claims, loss, suit, liability or judgment suffered by the Client,
including reasonable attorney's fees and costs, based upon or related
to any item prepared by the Agency, or at Agency's direction,
including, but not limited to, any claim of libel, slander, piracy,
plagiarism, invasion of privacy, or infringement of copyright or other
intellectual property interest.

| B.
In the event of any proceeding, litigation or suit against the Agency
by any regulatory agency or in the event of any court action or other
proceeding challenging any report of investigations prepared by the
Agency, the Client shall assist in the preparation of the defense of
such action or proceeding and cooperate with the Agency and the
Agency's attorneys at Client's expense.

| 8. Governing Law.
|
| This Agreement shall be construed and enforced in accordance with the laws of the Commonwealth of Delaware.
|
| 9. Respesentation.
|
| The Client represents that their statements made to the Agency are true to the best of their knowledge.
|
| 10. Final Agreement.
|
| This
Agreement terminates and supersedes all prior understandings or
agreements on the subject matter hereof. This Agreement may be modified
only in writing that is duly executed by both parties.
|
| 11. Execution in counterparts and facsimile or electronic mail signatures.
|
| This
Agreement may be executed by the parties in separate counterpart
versions. A fax or e-mail copy of a parties' signature shall be as
effective as an original,
